Terms of Service.

01Scope and operator

These Terms of Service ("Terms") apply to the use of VILEXI's website, free listings and one-time publishing packages by business customers. VILEXI is a brand operated by Sascha Gallinat Vilekzi, Hauptstrasse 21, 8280 Kreuzlingen, Switzerland ("VILEXI", "we", "us").

Any conflicting customer terms apply only if we expressly accept them in writing. Product details shown in the order flow form part of the agreement. If they conflict with these Terms, the specific product or order details take precedence.

02Business customers only

You may purchase a paid VILEXI service only on behalf of a company, organisation or in the course of your trade or profession. By ordering, you confirm that you have authority to bind the named customer and are not acting as a consumer.

03VILEXI's service

VILEXI provides a specialised job board on which businesses can describe work intended for robots or AI agents. Providers of robotic systems or AI agents may review listings and respond.

Unless expressly agreed otherwise, VILEXI does not supply, operate, certify or employ any robot, AI agent or provider. We do not guarantee applications, a match, technical suitability, project success or any particular business outcome.

04Public-sector market consultations

VILEXI permits an authorised public contracting authority to publish a clearly identified, non-binding preliminary market consultation. This function supports market research and innovation scouting only. VILEXI is a private B2B platform, is not a contracting authority or procurement body, and does not provide legal or procurement advice.

A VILEXI public-sector market consultation is not a procurement procedure, contract notice, invitation to tender, tender submission channel or award decision. It does not replace TED, an official journal, a national procurement platform or any publication, communication, documentation, standstill or review requirement imposed by European, national or local law.

The publishing authority remains solely responsible for determining the applicable procurement regime, estimated contract value, thresholds, procedure, time limits and required official publications. It must ensure equal treatment, non-discrimination, transparency and proportionality and must not use VILEXI to favour or disadvantage an economic operator.

Questions are moderated. A submitted question is not public until the publishing authority provides an answer; the question and official answer are then displayed together to all participants. The authority must not provide material information privately to selected participants and is responsible for removing personal data, confidential information and trade secrets from content intended for publication.

Public consultations are displayed neutrally. Paid provider promotion, featured-company placement or ranking advantages do not apply within a public consultation. Participation creates no entitlement to a later procurement procedure, award, reimbursement or contractual relationship.

VILEXI records material consultation events in an append-only audit trail and may create cryptographic evidence packages, verification records and long-term archive copies. These safeguards support traceability but do not transfer the contracting authority's legal documentation or retention duties to VILEXI.

Unless the relevant verification record expressly confirms receipt of a qualified trust-service token, a VILEXI hash, archive copy or platform timestamp is not a qualified electronic timestamp, qualified electronic seal or certified public archive. Qualified services become effective only after successful validation of the corresponding third-party trust token.

04Orders and publication

Website descriptions and prices invite you to submit a publication request. For a paid package, you place an order by selecting the package, accepting these Terms and completing Stripe's checkout. For a free listing, the request is accepted when VILEXI publishes it.

After a free request is accepted or a paid package is confirmed, VILEXI normally publishes the listing automatically. Publication remains subject to these Terms. We may review, correct, suspend or remove a listing for completeness, relevance, quality, safety, suspected misuse or compliance.

05Plans, prices and payment

One Single Job listing is offered free of charge per employer. A paid package provides the number of individual job-listing credits shown in the order flow. The listing prepared during checkout uses one credit when payment is confirmed; unused credits remain available in the employer account for later publication. Each paid batch expires 24 months after its purchase date. Purchases have separate expiry dates, and a later purchase does not extend an earlier batch. Credits with the earliest expiry are used first. A credit redeemed before expiry starts a full 45-day listing even when that listing ends after the credit expiry date. Unused expired credits lapse without cash value, refund or transfer.

Prices are stated in US dollars unless indicated otherwise. Applicable VAT, GST, sales tax or similar transaction taxes may be added at checkout based on the customer's billing location and tax status. The customer is responsible for providing complete and accurate legal entity, billing-address and business tax-ID information. Payments are processed by Stripe under Stripe's own terms and privacy policy. You authorise Stripe and VILEXI to charge the selected payment method once for the selected paid package.

The exact credit expiry date is displayed before payment, in the purchase confirmation and in the employer account. VILEXI may send service reminders six months and 14 days before expiry when unused credits remain. Expiry does not depend on successful delivery of a reminder.

06No renewal

VILEXI publishing packages are one-time purchases. They are not subscriptions and do not renew automatically. No cancellation is required to prevent a future recurring charge.

Each individual listing normally accepts applications for 45 days from its publication date. A customer may pause a current listing. Pausing removes it from public view immediately, but the calendar date on which the pause is requested counts as a complete publication day through 23:59 UTC. The calendar date of resumption also counts as a publication day. Only complete calendar days between the pause date and resumption date are added to the listing's remaining term.

A customer may resume the same paused listing while publication time remains, or permanently delete it from public view. Deletion is irreversible, ends the unused publication term and does not restore the credit used for that listing. Purchase, application and audit records may remain available or be retained as described in the Privacy Policy.

Listing content cannot be edited in the employer dashboard after publication. Necessary factual corrections must be requested through VILEXI support. VILEXI may decline changes that would materially turn the listing into a different opportunity. Closing, deletion or expiry of a listing does not restore the credit used to publish it.

07Refunds

Free listings

No payment or refund applies to a free Single Job listing.

Paid one-time packages

Paid packages are generally non-refundable once Stripe confirms the purchase and publication capacity is activated. Contact support promptly if activation fails because of a VILEXI technical error.

These rules do not limit refunds or other remedies required by mandatory law, or remedies arising from a material failure by VILEXI to provide the paid service.

08Customer responsibilities

You are responsible for your account, order information and listing content. You must:

• provide accurate, current and non-misleading information;
• publish only genuine opportunities you are authorised to offer;
• comply with applicable employment, advertising, competition, sanctions, export-control, safety and anti-discrimination laws;
• avoid unlawful, harmful, deceptive, infringing or malicious content; and
• independently assess providers, robots and AI agents before engagement or deployment.

You retain ownership of your content. You grant VILEXI a non-exclusive, worldwide, royalty-free licence to host, reproduce, format and display it as reasonably necessary to operate, promote and improve the service. This licence ends when the content is deleted, except for backups, legal retention and previously authorised promotional use.

09Marketplace relationships

Any evaluation, negotiation or agreement between a customer and a robot or AI-agent provider is solely between those parties. VILEXI is not their employer, agent, broker, representative, partner or a party to their contract. Each party is responsible for due diligence, technical validation, safety, insurance, permits, taxes, regulatory compliance and performance.

10Moderation and suspension

We may reject, edit for formatting, restrict, unpublish or remove content, or suspend access, where reasonably necessary to protect users or VILEXI, enforce these Terms, comply with law, respond to a security risk or prevent misuse. Where practical, we will explain the reason and allow the customer to correct the issue.

If we terminate a paid service without customer breach or another justified reason, we will provide an appropriate pro-rata refund for the unused paid period. No refund is due where suspension or termination results from the customer's material breach.

11Availability and changes

We aim to keep VILEXI available but do not promise uninterrupted or error-free operation. Maintenance, security work and circumstances outside our reasonable control may cause interruptions. We may improve or modify features, provided this does not materially remove a prepaid core service without an appropriate remedy.

We may update these Terms for future use of the service. Material changes do not alter purchases already completed unless required by law or agreed with the customer.

12Liability

To the extent permitted by law, VILEXI is liable only for direct loss caused by a breach of our contractual obligations. VILEXI is not liable for indirect or consequential loss, loss of profit, revenue, data, opportunity or reputation, or for acts, omissions, content, products or services of customers, providers, Stripe or other third parties.

To the extent permitted by law, VILEXI's aggregate liability arising from a paid service is limited to the fees the customer paid to VILEXI for that service during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so is unlawful, including liability for intent or gross negligence.

13Data protection

Our processing of personal data is described in the VILEXI Privacy Policy. The customer must ensure that personal data included in a listing or otherwise supplied to VILEXI has been collected and shared lawfully.

14Governing law and jurisdiction

These Terms and the contractual relationship are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. Subject to mandatory law, the courts at VILEXI's registered place of business in Kreuzlingen, Switzerland, have exclusive jurisdiction.

If any provision is invalid or unenforceable, the remaining provisions remain effective. The parties will replace the affected provision with a valid provision that comes as close as legally possible to its commercial purpose.
